Terms and conditions
Last updated: November 1, 2026
Preamble
These terms and conditions (the "Terms") apply to all relationships between PipelineX ("PipelineX", "we" or "us") and any individual or entity acting in a professional capacity (the "Client") who visits the pipeline-x.io website (the "Website") or purchases any of our services.
PipelineX services are intended exclusively for businesses. Any use of the Website or order for services constitutes full acceptance of these Terms, which prevail over any other document issued by the Client, including its own purchasing terms, unless PipelineX agrees otherwise in writing.
1. Definitions
In these Terms, the following words have the meanings set out below:
- Website: the website available at pipeline-x.io, including all of its public pages and subdomains.
- Client: any business that requests or uses PipelineX services.
- Services: all consulting, support and business development services offered by PipelineX.
- Proposal: the document setting out the scope, terms and pricing of the Services agreed with the Client.
- Agreement: the accepted Proposal, any specific terms and these Terms, taken together.
- User: any person browsing the Website.
2. Purpose
These Terms set out the conditions under which PipelineX makes the Website available to Users and provides its Services to Clients.
In particular, they describe how Services are ordered, performed, invoiced and paid for, and the respective rights and obligations of the parties.
3. Scope and enforceability
These Terms are available on the Website at all times. They are deemed accepted by the Client upon signature of a Proposal or first use of the Services.
Any failure by PipelineX to enforce any provision of these Terms at any time shall not be construed as a waiver of its right to enforce it later.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
4. Contract documents
The Agreement consists of the following documents, in decreasing order of priority: the accepted Proposal and any schedules, any specific terms, and these Terms.
In the event of any conflict, the higher-ranking document prevails. No amendment to the Agreement is valid unless agreed in writing by both parties.
5. Access to the Website
The Website is available free of charge to any User with internet access. Costs related to accessing the Website (equipment, software, connection) are borne by the User.
PipelineX endeavors to keep the Website continuously available but gives no guarantee to that effect. Access may be suspended, in particular for maintenance, updates or circumstances beyond our control.
Users agree to use the Website fairly and for its intended purpose, and not to interfere with its proper operation.
6. Description of the Services
PipelineX helps businesses grow their sales. The Services may include market analysis, target definition, the design and management of acquisition programs, the qualification of inquiries and the scheduling of sales meetings.
The exact content, duration and deliverables of each engagement are set out in the Proposal. Descriptions on the Website are provided for information only and do not constitute a contractual offer.
7. Inquiries and orders
Inquiries may be sent to PipelineX through the Website contact form or by email. An inquiry does not bind either party.
Following one or more conversations, PipelineX may send the Client a Proposal. The order becomes firm and final once the Client accepts the Proposal in writing, by handwritten or electronic signature, or by any other means agreed between the parties.
PipelineX reserves the right to decline any order for a legitimate reason, including an unusual request or a prior dispute with the Client.
8. Term
The Agreement takes effect on the date the Proposal is accepted and remains in force for the term stated in it.
Unless otherwise specified, the Services end once the work described in the Proposal has been completed.
9. Performance of the Services
PipelineX performs the Services diligently and in accordance with professional standards and industry practice.
PipelineX is free to determine the people and technical resources required to perform the Services and may use providers or partners of its choice for this purpose, while remaining responsible to the Client for their work.
Any timelines given are indicative only, unless expressly agreed otherwise in the Proposal.
10. Client obligations
The Client agrees to cooperate actively and in good faith with PipelineX. In particular, the Client agrees to:
- provide, within a reasonable time, all information, documents and access needed to perform the Services;
- ensure that the information and content it provides is accurate and lawful;
- appoint a contact person with the skills and authority needed to oversee the engagement;
- meet the agreed review and approval timelines;
- pay all amounts due under the terms of the Agreement.
Any delay or failure by the Client to meet its obligations may affect the timing and quality of the Services, and PipelineX shall not be held liable as a result.
11. PipelineX obligations
PipelineX agrees to use the resources needed to perform the Services properly, to inform the Client of any difficulty encountered and to provide relevant advice within the scope of its work.
PipelineX also agrees to comply with the regulations applicable to its business and to handle Client information with appropriate care.
12. Pricing
Prices for the Services are set out in the Proposal. They are stated exclusive of taxes, which are added where applicable at the rate in force on the invoice date.
Prices may be fixed, recurring or variable, as agreed between the parties. Any work not included in the Proposal requires prior agreement and will be invoiced separately.
PipelineX may change its prices at any time; however, Services are invoiced at the prices in force when the Proposal was accepted.
13. Invoicing and payment
Invoices are issued according to the schedule set out in the Proposal and sent to the Client electronically.
Unless otherwise agreed, invoices are payable upon receipt using one of the payment methods shown on the invoice. No discount is granted for early payment.
The Client agrees to provide accurate and up-to-date billing information and to notify PipelineX of any change.
14. Late payment
Any late payment automatically incurs, without the need for a reminder, late payment interest at the rate provided by applicable law, together with any fixed recovery fee provided by law.
In the event of late payment, PipelineX also reserves the right to suspend the Services until all amounts due have been paid in full, after a formal notice that remains unanswered.
15. Intellectual property
The Website and all of its elements (text, graphics, logos, trademarks, images, diagrams, software, databases) are the exclusive property of PipelineX or its partners and are protected by intellectual property laws.
Any reproduction, display, modification or use of these elements, in whole or in part, without prior written permission is prohibited.
The methods, tools, technologies and know-how used by PipelineX to perform the Services remain its exclusive property. Any rights granted to the Client in specific deliverables are set out in the Proposal and transfer only once the price has been paid in full.
16. Client materials
The Client retains all rights in the materials it provides to PipelineX (trademarks, logos, content, data). It grants PipelineX, for the term of the Agreement, the right to use them strictly as needed to perform the Services.
The Client warrants that it holds all rights required in these materials and shall indemnify PipelineX against any third-party claim in this respect.
17. Confidentiality
Each party agrees to keep strictly confidential all information of any kind, including commercial, financial or technical information, disclosed by the other party under the Agreement, and to use it solely to perform the Agreement.
This obligation does not apply to information that is in the public domain, already known to the receiving party, or required to be disclosed by law or by a competent authority.
This obligation remains in force for the term of the Agreement and for two years after it ends, for any reason.
18. Personal data
In connection with the use of the Website and the performance of the Services, PipelineX processes personal data. Such processing is carried out in accordance with applicable data protection laws.
How this data is processed and the rights of the individuals concerned are described in our privacy policy.
Where PipelineX processes data on behalf of the Client, the parties will agree on any additional terms required by law.
19. Liability
PipelineX undertakes a best-efforts obligation in performing the Services. Its liability may only arise from proven fault.
PipelineX shall not be liable for any indirect damages, such as loss of revenue, loss of customers, loss of data or reputational harm, or for business decisions made by the Client.
In any event, except in the case of gross negligence or willful misconduct, the total liability of PipelineX under the Agreement is limited to the amount, exclusive of taxes, actually paid by the Client for the Services concerned during the twelve months preceding the event giving rise to the claim.
20. Third-party links and content
The Website may contain links to third-party websites. PipelineX has no control over these websites and accepts no responsibility for their content or operation.
The Client's use of third-party services remains subject to the terms of those services.
21. Client references
Unless the Client objects in writing, PipelineX may mention the Client's name and logo as a business reference, without disclosing any confidential information.
22. Non-solicitation
During the term of the Agreement and for twelve months after it ends, neither party shall, directly or indirectly, solicit the other party's staff who were involved in performing the Services, without prior written consent.
23. Force majeure
Neither party shall be liable for any failure to perform its obligations resulting from a force majeure event, as defined by applicable law and case law.
The affected party shall notify the other party as soon as possible. The affected obligations are suspended for the duration of the event. If it lasts more than sixty days, either party may terminate the Agreement in writing, without compensation.
24. Suspension and termination
If either party commits a material breach of its obligations that is not remedied within thirty days of receiving formal notice, the other party may terminate the Agreement in writing, without prejudice to any damages.
Termination of the Agreement, for any reason, does not affect the payment of amounts due for Services performed up to the termination date.
The provisions on confidentiality, intellectual property and liability survive the end of the Agreement.
25. Assignment and subcontracting
The Client may not assign or transfer the Agreement to a third party without the prior written consent of PipelineX.
PipelineX may subcontract all or part of the Services, under its own responsibility.
26. Independent parties
The parties act as independent businesses. Nothing in the Agreement shall be construed as creating a partnership, joint venture, agency or employment relationship between them.
27. Communications and evidence
The parties agree that electronic communications, including emails, have the same evidentiary value as paper documents.
Electronic records kept under reasonable security conditions are deemed to be evidence of the communications, orders and payments between the parties.
28. Changes to these Terms
PipelineX may amend these Terms at any time. The applicable Terms are those in force on the date the Proposal is accepted or, for use of the Website, on the date of use.
29. Complaints
Any complaint about the Services must be sent in writing to support@pipeline-x.io. PipelineX will acknowledge receipt and respond within a reasonable time.
30. Warranties
Each party warrants that it has the full power and authority to enter into the Agreement and to perform its obligations under it.
Except as expressly set out in the Agreement, PipelineX makes no other warranty, express or implied, including any warranty as to specific commercial results, revenue or the conclusion of sales by the Client.
The Client acknowledges that the commercial outcome of any meeting depends on factors outside PipelineX's control, including the Client's offer, pricing, sales process and responsiveness.
31. Compliance
Each party agrees to comply with all laws and regulations applicable to its business, including laws on anti-corruption, export controls, economic sanctions, consumer protection and electronic communications.
The Client agrees not to use the Services for any unlawful, misleading or harmful purpose, and to ensure that its products, services and communications comply with applicable law.
32. Notices
Any notice under the Agreement must be given in writing and sent by email or by any other means providing proof of receipt, to the addresses designated by the parties.
Notices to PipelineX must be sent to support@pipeline-x.io. A notice is deemed received on the business day following its sending, unless proven otherwise.
33. Entire agreement
The Agreement constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior proposals, negotiations, representations and agreements, whether written or oral.
Headings are provided for convenience only and do not affect the interpretation of these Terms.
34. Language
These Terms are written in English. If they are translated into another language, the English version prevails in the event of any discrepancy.
35. Governing law and disputes
These Terms and the Agreement are governed by French law.
In the event of a dispute regarding their interpretation or performance, the parties will seek an amicable solution before taking legal action. Failing an amicable agreement within thirty days, the dispute will be brought before the competent courts.
